1. Acceptance of Terms

By accessing, browsing, contracting, or purchasing any product or service offered by Navigium Consulting by ESH (hereinafter, "Navigium" or "the Division"), you represent that you have read, understood, and fully accepted these Terms of Use. If you do not agree with any part of these terms, you must refrain from using this site and from engaging with Navigium. Engaging the Division's services or purchasing products constitutes your express and irrevocable acceptance of all terms set forth herein, including the disclaimer, limitation, and indemnification provisions in Sections 5, 6, and 7.

2. Business Classification

Navigium Consulting by ESH is an operating division of ESH GROUP LLC, a limited liability company legally incorporated in the United States of America, engaged in e-commerce, digital product distribution, and professional consulting services.

ESH GROUP LLC is not, under any circumstances, a financial institution, investment fund, registered investment adviser, broker-dealer, money transmitter, or any other regulated financial entity under applicable U.S. law or the law of any other jurisdiction. Payments processed through this site correspond exclusively to the acquisition of digital products or consulting services of an analytical and strategic nature.

3. Nature of Services and Products

Navigium's services and products include, without limitation:

  • Political and sociopolitical comparative analysis from an International Relations (IR) and Political Science (PS) perspective
  • Political and geopolitical risk intelligence
  • Systemic assessments of political, governance, and institutional scenarios
  • International situational analysis and bilateral/multilateral relations
  • Institutional mapping and sociocultural analysis
  • Digital products for strategic communication and leadership development
  • Cross-border business strategy advisory from a political and institutional perspective

No service or product of Navigium constitutes investment advice, a recommendation to buy or sell securities, regulated financial guidance, or a guarantee of any economic outcome. Clients who make investment or business decisions based on Navigium's analyses do so under their own sole responsibility, and are expressly recommended to consult qualified, independent financial, legal, and tax advisers.

4. Geopolitical Volatility and Unpredictability — Inherent Risk

The client expressly acknowledges and accepts that political, sociopolitical, risk, and situational analyses are subject to structural volatility and inherent unpredictability. Factors that may suddenly and irreversibly alter any analyzed landscape include, without limitation:

  • Electoral processes, government changes, or unforeseen transitions of power
  • Institutional crises, coups, armed conflicts, or civil unrest
  • Urgent or retroactive legislative or regulatory changes
  • International geopolitical events: conflicts, sanctions, multilateral agreements
  • Economic crises, currency devaluations, capital controls, or monetary policy shifts
  • Mass social movements or governance crises
  • Force majeure events: pandemics, natural disasters, cyberattacks on critical infrastructure

Navigium's analyses represent methodological assessments based on information available at the time of preparation. They do not constitute financial forecasts, certainties, or guarantees. What appears predictable in a given political context may change within hours or days.

Navigium does not guarantee the accuracy, completeness, or future applicability of any analysis delivered. All analyses are valid at the time of issuance and may become outdated at any subsequent time without prior notice.

5. Limitation of Liability

To the fullest extent permitted by law, Navigium, ESH GROUP LLC, its directors, employees, collaborators, and representatives shall not be liable for:

  • Capital losses, investment losses, lost opportunities, or lost profits
  • Investment, commercial, or strategic decisions made based on Navigium's analyses
  • Changes in the political, economic, or social landscape after delivery of any analysis
  • Direct, indirect, incidental, special, punitive, or consequential damages of any nature
  • Losses arising from political connections, regulatory changes, capital flight, expropriations, or sovereign restrictions

Navigium's maximum total liability to any client shall in no event exceed the total amount actually paid by such client in the three (3) months preceding the event giving rise to the claim.

6. Indemnification and Hold Harmless

By engaging Navigium's services or purchasing any product, the client expressly, voluntarily, and irrevocably agrees to:

  • Indemnify, release, and hold harmless Navigium and ESH GROUP LLC from any and all claims, demands, losses, damages, costs, or expenses arising from the use of any analysis or from any decision made based on them.
  • Acknowledge that all investment, commercial, and strategic decisions are solely and entirely the client's own responsibility.
  • Acknowledge having been duly warned of the volatile and unpredictable nature of geopolitical analyses and consciously assuming such risk.
  • Refrain from initiating any legal or arbitral proceeding against Navigium for losses arising from decisions made based on analyses received.

This clause is an essential element of the service agreement and may not be modified except by written agreement signed by an authorized representative of ESH GROUP LLC.

7. Disclaimer of Warranties

Navigium's services and products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or completeness. No analysis, report, or communication from Navigium shall be construed as a guarantee of any economic, political, or strategic outcome.

8. Regulatory Compliance — OFAC and Sanctioned Jurisdictions

By using this website or engaging Navigium's services, you represent and warrant that:

  • You are not located in any jurisdiction sanctioned by the United States, including Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions.
  • You are not listed on any restricted persons or entities list maintained by the U.S. Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce (Entity List / Denied Persons List), or by the United Nations, European Union, or United Kingdom.
  • You are not acquiring Navigium's services or products on behalf of any sanctioned person or entity.
  • Your use of Navigium's services complies with all applicable laws and regulations in your jurisdiction of residence or activity.

Navigium reserves the right to reject, cancel, or refund any transaction that, in its sole judgment, may violate foreign asset control regulations, international sanctions, or the acceptable use policies of its payment service providers.

9. Intellectual Property

All content on this site, including texts, analyses, methodologies, graphics, and digital products, is the exclusive property of ESH GROUP LLC, protected by U.S. intellectual property law, the Berne Convention, and the DMCA. See the Legal Notice for the complete content use terms.

10. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to Navigium's services or products, are governed by the laws of the state of incorporation of ESH GROUP LLC, without regard to its conflict of laws principles.

Arbitration Agreement — Applicable Federal Law

Notwithstanding the foregoing, the Arbitration Agreement contained in this section is governed exclusively by the Federal Arbitration Act (FAA, 9 U.S.C. § 1 et seq.) and applicable federal law, and not by state law. The parties expressly acknowledge that the FAA governs the validity, interpretation, and enforcement of this arbitration agreement, including the class action waiver.

Any dispute shall first be resolved through direct good-faith negotiation between the parties. If no agreement is reached within thirty (30) days, the dispute shall be submitted to individual and binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English. The parties irrevocably waive the right to initiate or participate in any class action, class lawsuit, or representative proceeding. This waiver is fully enforceable under the FAA.

11. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Navigium Consulting by ESH is an operating division of ESH GROUP LLC, an e-commerce company registered in the United States of America. All commercial transactions, including payment processing via Stripe, correspond to the acquisition of digital products or strategic consulting services of an analytical and educational nature.
